Terms and Conditions
gH translations uses the following as our standard terms of trade.
Success in the Partnership
gH Translations will make a thorough effort to understand your business in order to provide best-choice solutions to positively impact your business.
The success of our relationship and this project both require constant and regular communication, and, in that light, both partners agree to respond to requests for information in a timely fashion and keep each other informed with correct information and of any developments that might impact the project or the relationship.
Estimates and Expenses
Costs and expenses cited in our proposals are gH Translations best estimates given the information provided. If additional information is forthcoming, the project specifications change, or the scheduling changes, cost and expense estimates may change. Cost and expense estimates are appropriate for 30 days from the date of our proposal. The provided estimates exclude GST. The estimates do not include illustration, photography, or copy-writing allowances. If these are required, we will estimate costs and get approval before proceeding.
Change of Scope
Work not described in this proposal, including but not limited to revisions, corrections, alterations, and additional proofs, will be billed as additional cost.
Invoicing
gH Translations progressively charges and invoices on a monthly basis or at the end of a project, whichever comes first. Payment is due by the 20th day of the following month. If any phase of the assignment is delayed longer than sixty days, GH Translations will bill for work completed to date.
Confidentiality
gH Translations , its employees, subcontractors and agents, will hold in strict confidence all information obtained in connection with a project and convey only so much of such information to its individual employees, subcontractors and agents as such persons must know to fulfill the purposes of the project.
Copyright and Ownership
Copyright and other rights in the selected work will automatically transfer to you on receipt of full payment on invoicing. gH Translations will hold copyright and other rights in the work until that time.
All materials used in the production of the assignments - including original artwork and computer-generated artwork, formats, and code - remain the property of gH Translations. Unless otherwise agreed, all original photographic film (transparencies and negatives) will remain the property of the photographer, and all printing materials (primarily films, plates, and electronic files) remain the property of the printer selected. Concepts that are not selected remain the property of gH Translations and may be used in the future in the course of other assignments, so long as they do not in way infringe on rights transferred to you with selected work.
We would like to show work we have completed for you in our portfolio and on our website. Please let us know if you do not want us to do this.
Termination
In the event that you decide to terminate the project, you must notify gH Translations in writing of that decision. The client is responsible for all expenses and billable hours incurred by gH Translations to the date of gH Translations receiving that notification.
Adjudication and Jurisdiction
Our agreements shall be construed in accordance with the laws of New Zealand.
Indemnity
Each party will indemnify and hold the other party, its directors, officers, employees and agents harmless against any losses, liabilities, damages and expenses (including reasonable attorneys' fees) that they or any of them may incur or be obligated to pay as a result of any action, claim or proceeding, or any threatened action, claim or proceeding, against them or any of them, in connection with or arising out of the other party's representations or warranties herein or any breach thereof.
